WHICH COMPANY YOU SHOULD REGISTER?
Indian enactment provides for basically three types of companies, depending upon the number of members and proposed activity you can choose you type and prepare your documents accordingly.
1. One Person Company
This is a very new concept whereby a single person can incorporate a company, this company comes under the definition of a Private limited Company.
Person incorporating the company must notify at the time of incorporation a Nominee who in the event of death or incapacity of the member shall became the member of the company.
One Person Company can have a maximum of upto 15 directors, but the shall be only one shareholder.
Restriction on One Person Company:
There shall be only one member in the company.
- The Authorised share capital of the company shall be less than or equal to Rs. 50 lakh
- Annual turnover of the company in a given financial year shall not at any point exceed Rs. 2 crore.
In the event of non compliance of any of the above mentioned three points, the Director of the company shall compulsorily convert the One Person company into Private or Public Company.

NOTE:
- Name of the One Person company shall end with ……..(OPC) Private Limited.
- Utility Bills shall not be older than 2 months.
2. Private Company
Best suited business format whereby a minimum of 2 members can incorporate the company by fulfilling certain formalities. Private limited company does not have any restriction with respect of number of members or turnover or share capital as there is with the one person company. So a person can do business in hassle free manner without worrying about any impending non compliance. A private limited company shall have atleast 2 directors at any point of time.
Restrictions on Private Limited Company:
- Shares of a private limited are not freely transferable, a member can transfer his/her share only after taking consent of all the other shareholders.
- A private company cannot offer directly to public to subscribe for its securities.

3. PUBLIC COMPANY
A minimum of 7 members out of which minimum 3 shall be the directors can incorporate a Public company to cater there business needs.
This is the most vast and versatile form of business registration whereby public in general can also invest their money and take part in active growth of the company.
Public company limits the minimum number of embers to 7 but there is no such restrictions on maximum number of members. Incorporating a public company takes longer time in comparison to other forms of business registration.

STEPS INVOLVED IN INCORPORATION OF A COMPANY
STEP 1: CHOOSING THE BEST SUITED BUSINESS FORMAT

STEP 2: GIVING A NAME TO THE BUSINESS
The most difficult part of company registration is finding a unique name of the company. A company name generally consists of 3 parts, First Part is the Part we choose and it must be unique in all respect, Second Part defines the business activity proposed to be undertaken or area of work of the company, like construction, education, services etc, Last part determines the type of company like (OPC) Pvt. Ltd or Pvt. Ltd. Or Ltd.

Ministry of Corporate Affairs has also introduced a unique name reservation facility whereby the promoters can provide 2 name and if the name is available MCA shall reserve such name which shall be available for registration for the next 20 days.
